End User License Agreement

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between Scorpion Cleaning ("Company," "we," "our," or "us") and the person or entity accessing or using our website, services, internal software tools, automations, or third-party integrations, including integrations with QuickBooks Online ("User," "you," or "your").
By accessing or using the services, software, automations, or integrations covered by this Agreement, you agree to this Agreement. If you do not agree, do not use the services, software, automations, or integrations.

2. Covered Services
This Agreement applies to:
- Scorpion Cleaning's website and online systems;
- Internal business automation tools;
- Customer service, scheduling, invoicing, billing, and operational workflows;
- Software integrations with third-party platforms, including QuickBooks Online;
- Related scripts, workflows, API connections, webhooks, data syncs, invoice automation, reports, logs, and supporting tools.
The covered services may be used to create, read, download, update, sync, or process business records, including customer records, invoices, estimates, payment status, products, services, and related accounting data.
3. License and Authorized Use
Subject to this Agreement, we grant authorized users a limited, revocable, non-exclusive, non-transferable license to access and use the covered services solely for legitimate business purposes related to Scorpion Cleaning's operations, customer service, invoicing, accounting, scheduling, reporting, and related workflows.
This license does not transfer ownership of any software, workflow, integration, documentation, configuration, system, or intellectual property.
4. Internal and Authorized Use Only
Unless we separately agree in writing, the covered services and integrations are intended only for use by Scorpion Cleaning, its authorized personnel, approved contractors, approved service providers, and other users expressly authorized by Scorpion Cleaning.
You may not provide access to unauthorized third parties.
5. Third-Party Platforms
The covered services may connect to third-party platforms, including QuickBooks Online, payment processors, communication providers, hosting providers, automation platforms, and other business tools.
Your use of third-party platforms is also governed by the terms, conditions, privacy policies, and documentation of those third parties. We are not responsible for third-party platforms, outages, changes, fees, data practices, errors, or service limitations.
QuickBooks Online and Intuit are third-party services. This Agreement does not replace or modify any agreement you may have with Intuit.
6. QuickBooks Online Authorization
If you authorize a connection to QuickBooks Online or another accounting platform, you authorize the covered services to access, process, create, download, update, and sync data as permitted by the scopes and permissions granted through that platform.
Depending on the configuration, this may include:
- Reading customer, invoice, estimate, product, service, payment, and accounting records;
- Creating or updating invoices, estimates, customers, payments, products, services, or related records;
- Downloading invoices or related documents;
- Receiving webhook notifications when relevant records change;
- Storing logs, event data, sync history, and limited record data for business, support, audit, troubleshooting, and operational purposes.
You are responsible for ensuring that any authorization you provide is permitted by your role, company policies, and applicable law.
7. User Responsibilities
You agree to:
- Use the covered services only for lawful and authorized purposes;
- Provide accurate information where required;
- Maintain the confidentiality of usernames, passwords, OAuth connections, API keys, tokens, and other credentials;
- Promptly notify us of suspected unauthorized access or security incidents;
- Ensure that you have authority to connect business systems and accounting platforms;
- Review records, invoices, estimates, payments, and accounting entries for accuracy;
- Maintain appropriate backups and business records;
- Comply with applicable laws, regulations, and third-party platform terms.
8. Prohibited Uses
You may not:
- Use the covered services for unlawful, fraudulent, misleading, harmful, or unauthorized purposes;
- Interfere with or disrupt the operation of any system, integration, API, webhook, server, or network;
- Attempt to bypass access controls or security features;
- Reverse engineer, decompile, copy, resell, sublicense, or commercially exploit the covered services except as expressly allowed in writing;
- Upload or transmit malicious code;
- Use another person's credentials without authorization;
- Access, alter, or delete data without permission;
- Use the services in a way that violates third-party platform terms.
9. Data Accuracy and Review
Automations and integrations may create, update, download, or sync business records. You are responsible for reviewing important records for accuracy, including invoices, estimates, payment information, customer details, tax information, and accounting entries.
We do not guarantee that automated records will always be complete, accurate, current, or error-free.
10. Availability and Changes
The covered services may be modified, suspended, interrupted, or discontinued at any time. Some features depend on third-party platforms, APIs, webhooks, credentials, permissions, internet access, hosting providers, and other systems outside our direct control.
We may update, modify, replace, disable, or remove workflows, integrations, features, or access permissions as needed for security, compliance, business operations, or service improvement.

Support availability, response times, and scope may vary depending on the issue, third-party platform availability, and business needs.
12. Fees and Third-Party Charges
Use of the covered services may require third-party accounts, subscriptions, API access, hosting, communication services, payment processing, or other paid tools.
You are responsible for any fees, charges, taxes, or expenses associated with third-party services that you authorize or use, unless we separately agree otherwise in writing.
13. Ownership
As between you and Scorpion Cleaning, Scorpion Cleaning owns all rights, title, and interest in and to its software, workflows, automations, configurations, documentation, templates, business processes, trade secrets, know-how, and related intellectual property, except for third-party materials and data owned by others.
You retain any rights you have in your own data, subject to the rights and permissions needed for us to operate the covered services.
14. Feedback
If you provide suggestions, ideas, bug reports, or feedback, you grant us the right to use that feedback without restriction or compensation.
15. Privacy
Our collection and use of information is described in our Privacy Policy. By using the covered services, you acknowledge that information may be collected, used, stored, and shared as described in the Privacy Policy.
16. Confidentiality
You may have access to confidential business, customer, financial, operational, or technical information. You agree to protect confidential information and use it only for authorized business purposes.
This obligation does not apply to information that becomes public through no fault of yours or that you lawfully receive from another source without a duty of confidentiality.
17. Security
We use reasonable safeguards designed to protect systems and information. However, no system is completely secure. You are responsible for using secure passwords, protecting credentials, limiting access, and promptly reporting suspected security issues.
18. Disconnection and Termination
We may suspend or terminate access to the covered services at any time if:
- You violate this Agreement;
- Access creates a security, legal, compliance, operational, or business risk;
- A third-party platform requires disconnection;
- Credentials, permissions, or authorizations are invalid or revoked;
- The covered services are discontinued or replaced.
You may request disconnection of an integration by contacting us at admin@scorpioncleaning.com or by disconnecting access through the applicable third-party platform.
Termination or disconnection does not require us to delete records that must be retained for legal, accounting, tax, audit, backup, dispute resolution, or legitimate business purposes.
19. Disclaimer of Warranties
The covered services are provided "as is" and "as available."
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and error-free operation.
We do not guarantee that the covered services will be uninterrupted, secure, timely, accurate, complete, or compatible with every third-party platform or system.
20. Limitation of Liability
To the maximum extent permitted by law, Scorpion Cleaning and its owners, employees, contractors, vendors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, accounting errors, or loss of goodwill.
To the maximum extent permitted by law, our total liability for any claim related to the covered services or this Agreement will not exceed the greater of:
- The amount paid to us for the specific service giving rise to the claim during the three months before the claim arose; or
- One hundred dollars ($100).
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
21. Indemnification
You agree to defend, indemnify, and hold harmless Scorpion Cleaning, its owners, employees, contractors, vendors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from:
- Your misuse of the covered services;
- Your violation of this Agreement;
- Your violation of law or third-party rights;
- Unauthorized access caused by your failure to protect credentials;
- Data, instructions, permissions, or authorizations you provide.
22. Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law rules.
23. Venue
Unless otherwise required by law, any dispute arising under or relating to this Agreement will be brought in the state or federal courts located in Sacramento County, California, and each party consents to the jurisdiction and venue of those courts.
24. Changes to This Agreement
We may update this Agreement from time to time. The updated version will be posted with a new effective date. Continued use of the covered services after an update means you accept the updated Agreement.
25. Entire Agreement
This Agreement, together with any applicable Privacy Policy, written service agreement, order form, or other written agreement signed by us, forms the entire agreement regarding the covered services and supersedes prior or conflicting terms regarding the same subject matter.
